1. Introduction and Applicability

YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTIONS AND TO HAVE CLAIMS DECIDED BY A JURY, AS EXPLAINED IN THE DISPUTE RESOLUTION SECTION.

These Unified Terms and Conditions ("Terms") govern the use of 360 Degree Academy's website, mobile applications, TV applications, APIs, and other related services (collectively, the "Services"). 360 Degree Academy is an elearning marketplace for people with disabilities and senior citizens.

If you publish a course on the 360 Degree Academy platform, you must also agree to the Instructor Terms. We also provide details regarding our processing of personal data of our students and instructors in our Privacy Policy. Our Instructor Terms, Privacy Policy, and other 360 Degree Academy policies applicable to your use of our Services are incorporated by reference into these Terms.

By using our Services, you agree to these Terms, our Privacy Policy, and any other terms referenced herein. If you are using our Services on behalf of an organization, you are agreeing to these Terms for that organization and promising that you have the authority to bind that organization to these Terms.

Our website and apps cause communications about your browsing and app activities and app usage to be sent from you to third parties who provide services to 360 Degree Academy. By using our Services, you consent to these communications.
Disclaimer of Liability: 360 Degree Academy is not liable for any damages or losses resulting from the use of our platform or the information provided therein. Users acknowledge that they use the Services at their own risk.

2. Definitions
  • "User", "you", "your": Any individual or entity using the Services.
  • "Authorized Minor": A user between the age of 14 and 18 who has been granted special permission by their legal guardian to access specific courses on the platform.
  • "Parent/Guardian": The legally responsible adult who provides consent for an Authorized Minor to use the Services.
  • "We", "us", "our", "360 Degree Academy": Refers to 360 Degree Academy, Inc.

3. General Terms and Conditions

3.1 Account Creation and Maintenance
You need an account for most activities on our platform. When creating and maintaining your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, so it's important to keep your account password secure. We reserve the right to revise and modify our password policies at any time to enhance the security of the platform.

You must be at least 14 years old to create an account on 360 Degree Academy. If you are between 14 and 18 years old, you represent that you have your parent or guardian's permission to use the Services. Please have an authorized adult review these Terms with you.

Note: The legal age of majority may vary in different jurisdictions. Users are responsible for complying with the laws in their jurisdiction regarding online agreements and account creation.

3.2 Content Access and Licensing
When you enroll in a course or access other content on 360 Degree Academy, you receive a license from us to view and access the content solely for your personal, non-commercial, educational purposes through the Services. This license is limited, non-exclusive, and non-transferable.

You may not:
  • Share your account or account access with others
  • Transfer or resell any content
  • Modify, reproduce, redistribute, or create derivative works from the content
  • Attempt to circumvent any technological measures used to protect the content
  • Use your account to provide classroom instruction to students who do not have their own licenses, unless otherwise agreed upon in writing with 360 Degree Academy

General student access is for 12 months unless otherwise stated clearly prior to purchase by the instructor or according to the terms of the purchase. While we generally aim to provide access as specified, we reserve the right to remove or alter content:
  • For legal or policy reasons
  • If the content becomes outdated or falls below our quality standards
  • If our agreement with the content provider terminates

360 Degree Academy reserves the right to periodically verify the eligibility of licenses and may terminate access if a user is found to be ineligible or in violation of these Terms.

3.3 Payments, Credits, and Refunds
Prices for courses and other content are set according to our pricing policies. By making a purchase, you agree to pay the specified fees. We work with trusted payment service providers to process your payments securely. In addition, we may process payments through alternative means when required by certain entities or to accommodate specific needs.

We offer a 30-day refund period for most course purchases. To request a refund, please contact us at contact@360degreeacademy.com. Refund eligibility may vary for special promotions or organizational purchases. Users should refer to our Refund Policy for specific provisions on acceptable refund reasons and procedures.
In some cases, we may issue credits to your account instead of a refund. These credits can be used for future purchases on our platform but may have an expiration date.

3.4 User Conduct and Content Rules
You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for all activity associated with your account.

You must not:
  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Harass, bully, or intimidate other users
  • Post false, misleading, or inappropriate content
  • Attempt to gain unauthorized access to any part of the Services
  • Use the Services to distribute malware or conduct malicious activities

If you post reviews, questions, or other content on the platform, you retain ownership of your content, but you grant 360 Degree Academy a license to use, copy, and distribute that content. Any use of your content by 360 Degree Academy will have personal identifying information redacted or otherwise anonymized.

3.5 Intellectual Property Rights
The Services, including all features and functionality, are owned by 360 Degree Academy, its licensors, or other providers and are protected by copyright, trademark, and other intellectual property laws.

Much of the content on our platform is owned by our instructors or other third parties. You agree to respect all copyright and other intellectual property notices.

3.6 Platform Usage Risks and Disclaimers
We do not review all content on our platform for accuracy, legality, or non-infringement. We are not responsible for any errors or omissions in any content.

When interacting with other users on the platform, exercise caution and do not share sensitive personal information. We are not responsible for the conduct of any users.
Our platform includes content on various topics, including health and fitness. This content is for informational purposes only and is not a substitute for professional advice, diagnosis, or treatment.

3.7 360 Degree Academy's Rights
We reserve the right to:
  • Modify, suspend, or discontinue any part of the Services
  • Remove content or restrict user access for violations of these Terms
  • Update these Terms as needed

3.8 Privacy and Data Protection
Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and share your data.

3.9 Termination and Account Cancellation

We may suspend or terminate your account for violations of these Terms, extended inactivity, or any other reason we deem necessary.

3.10 Dispute Resolution
Any disputes arising from these Terms will be governed by the laws of the District of Columbia, USA. You agree to first attempt to resolve any disputes informally by contacting us. If that doesn't work, you agree to resolve any disputes through binding arbitration or small claims court, rather than in courts of general jurisdiction.

3.11 Miscellaneous Legal Terms
These Terms constitute the entire agreement between you and 360 Degree Academy regarding your use of the Services.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

To ensure compliance with license terms and prevent unauthorized use of our Services, we may collect and process geolocation data from users. This may include IP-based location data, GPS data (if permission is granted on mobile devices), and other location-based information as necessary for license verification. For more details on how we collect, use, and protect this data, please refer to our Privacy Policy.

We are not responsible or liable for any interactions involved between instructors and students. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of instructors or students.

If you behave in a way that gets us in legal trouble, we may exercise legal recourse against you. You agree to indemnify, defend (if we so request), and hold harmless 360 Degree Academy, our group companies, and their officers, directors, suppliers, partners, and agents from an against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from: (a) the content you post or submit; (b) your use of the Services; (c) your violation of these Terms; or (d) your violation of any rights of a third party. Your indemnification obligation will survive the termination of these Terms and your use of the Services.

You may not assign or transfer these Terms (or the rights and licenses granted under them). We may assign these Terms (or the rights and licenses granted under them) to another company or person without restriction. Nothing in these Terms confers any right, benefit, or remedy on any third-party person or entity. You agree that your account is non-transferable and that all rights to your account and other rights under these Terms terminate upon your death.

You warrant that you (as an individual or as a representative of any entity on whose behalf you use the Services) aren't located in, or a resident of, any country that is subject to applicable U.S. trade sanctions or embargoes. You also warrant that you aren't a person or entity who is named on any U.S. government specially designated national or denied-party list.

If you become subject to such a restriction during the term of any agreement with 360 Degree Academy, you will notify us within 24 hours, and we will have the right to terminate any further obligations to you, effective immediately and with no further liability to you (but without prejudice to your outstanding obligations to 360 Degree Academy).

You may not access, use, export, re-export, divert, transfer or disclose any portion of the Services or any related technical information or materials, directly or indirectly, in violation of any United States and other applicable country export control and trade sanctions laws, rules and regulations. You agree not to upload any content or technology (including information on encryption) whose export is specifically controlled under such laws.

Any version of these Terms in a language other than English is provided for convenience and you understand and agree that the English language will control if there is any conflict.

3.12 Confidentiality and User-Uploaded Content
While we strive to maintain the security of our platform, we cannot warrant the absolute confidentiality of any content uploaded to our Services. We strongly encourage users to redact any sensitive personal identifying information from any materials they upload to the platform. This includes, but is not limited to, social security numbers, financial account information, and other highly sensitive personal data.

3.13 Account Non-Transferability
Your account is non-transferable, including in cases where an employee exits a company. If you registered an account as an employee of a company, your account cannot be transferred to another employee.

3.14 Survival
The following sections shall survive the expiration or termination of these Terms: Sections 2 (Definitions), 3.4 (User Conduct and Content Rules), 3.5 (Intellectual Property Rights), 3.6 (Platform Usage Risks and Disclaimers), 3.8 (Privacy and Data Protection), 3.10 (Dispute Resolution), 3.11 (Miscellaneous Legal Terms), 3.12 (Confidentiality and User-Uploaded Content), and any other sections which by their nature should survive termination or expiration.

4. Special Terms for Authorized Minors

The following terms apply specifically to Authorized Minors and their Parents/Guardians. These terms supersede any conflicting terms in the General Terms and Conditions (Section 3).

4.1. Applicability These Special Terms apply only to Authorized Minors accessing specific, pre-approved courses.

4.2. Parental/Guardian Consent and Supervision A Parent/Guardian must provide verifiable consent for the Authorized Minor to use the platform. The Parent/Guardian, school staff, or rehabilitation agency staff (with parental consent) are responsible for supervising the Authorized Minor's use of the platform.

4.3. Account Creation and Use Accounts for Authorized Minors will be created and managed by 360 Degree Academy administrators. Authorized Minors may not create their own accounts or modify account information.

4.4. Limited Access Authorized Minors will only have access to specifically approved courses. Access to community features, forums, or direct messaging is restricted.

4.5. Content Restrictions All content accessible to Authorized Minors is pre-screened for age appropriateness. 360 Degree Academy reserves the right to restrict access to any content at any time.

4.6. Data Protection for Minors We collect and process minimal personal data for Authorized Minors, limited to what is necessary for course access, license management, and progress tracking. Parents/Guardians have the right to request access to, correction of, or deletion of the Authorized Minor's data.

4.7. Termination of Minor Access and License Management 360 Degree Academy reserves the right to terminate access for Authorized Minors at any time, with or without cause.

Parents/Guardians may request termination of access at any time by contacting contact@360degreeacademy.com.

If the Authorized Minor gained access to the course through a funder with the guardian's release provided to them, requests to manage the account, including termination of access, must be directed through the funder.

The license funder shall proactively notify 360 Degree Academy in the event that the minor: a) Graduates from high school b) Exits high school for any reason c) Otherwise becomes ineligible under the terms of their license d) Relocates out of the funder's jurisdiction

In the case of relocation, the student's license follows them but will be deactivated unless assigned another supervisor.

4.8. Geolocation Data for Minors While we generally do not collect precise geolocation data from users under 18, we may collect and process limited location data for the sole purpose of license verification. This data collection will be minimized and subject to stricter controls to protect the privacy of our younger users.

5. Changes to These Terms
We may update these Terms from time to time. We will notify you of any significant changes by posting a notice on our website or sending you an email. Your continued use of the Services after such notice constitutes your acceptance of the changes.
